
On 30 April 2026, the European Commission published its Draft Merger Guidelines, representing a major reform of the EU merger control framework.
The Draft Guidelines consolidate the 2004 Horizontal and 2008 Non-Horizontal Merger Guidelines into a single framework, introducing a broader, more dynamic approach to merger assessment. Key developments include recognition of scale-enhancing mergers as procompetitive, an “Innovation Shield” for small innovative companies, a structured “theory of benefit” for efficiencies, and expanded theories of harm covering innovation, labour markets, and foreclosure.
